These Terms of Service (“Terms”) govern your access to and use of the Big Dogs Toolbelt platform, operated by Agentic Personnel Solutions (“APS,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Big Dogs Toolbelt is an AI-powered lead capture and automation platform designed for contractors and trades businesses. The Service includes, but is not limited to:

  • AI voice agent for answering and routing calls
  • Lead qualification and scoring
  • Missed call and lead recovery
  • CRM and marketing automation
  • Automated content creation and SEO tools
  • Analytics and reporting dashboards

We may add, modify, or discontinue features at any time. We will make reasonable efforts to notify you of significant changes.

2. Account Registration and Responsibilities

To use the Service, you must:

  • Be at least 18 years old.
  • Provide accurate and complete registration information.
  • Keep your login credentials secure and confidential.
  • Notify us immediately if you suspect unauthorized access to your account.

You are responsible for all activity that occurs under your account. We are not liable for losses caused by unauthorized use of your account if you fail to maintain the security of your credentials.

3. Acceptable Use

You agree not to use the Service to:

  • Send spam, unsolicited messages, or bulk communications that violate applicable laws (including the CAN-SPAM Act, TCPA, and similar regulations).
  • Engage in any illegal, fraudulent, or deceptive activity.
  • Upload or transmit malware, viruses, or other harmful code.
  • Attempt to gain unauthorized access to our systems, other accounts, or data.
  • Interfere with or disrupt the Service, its servers, or connected networks.
  • Scrape, crawl, or use automated means to access the Service beyond what the platform provides.
  • Use the Service in any way that violates the rights of others, including intellectual property, privacy, or publicity rights.
  • Resell, sublicense, or redistribute the Service without our written consent.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

4. Your Data

You retain ownership of all data you upload to the Service, including lead information, contacts, call recordings, and generated content (“Your Data”). By using the Service, you grant us a limited license to process, store, and display Your Data solely to operate and improve the Service.

You are responsible for ensuring that you have the right to upload and use the data you provide, including obtaining any necessary consents from your contacts. Our handling of personal data is described in our Privacy Policy.

5. Payment Terms

  • Billing cycle. Subscriptions are billed monthly on the date you sign up. Payment is due at the start of each billing period.
  • Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will continue to have access until then.
  • Refunds. We do not provide refunds for partial months. If you cancel mid-cycle, your access continues until the end of the paid period.
  • Price changes. We may change pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
  • Failed payments. If a payment fails, we will attempt to collect again and notify you. If payment is not resolved within 14 days, we may suspend your account.

6. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. The Service is provided on a best-effort basis. We may experience downtime for maintenance, updates, or circumstances beyond our control.

We do not currently offer a formal Service Level Agreement (SLA). We will make reasonable efforts to notify you of planned maintenance and resolve unplanned outages promptly.

7. Intellectual Property

The Service, including its software, design, branding, documentation, and all related intellectual property, is owned by Agentic Personnel Solutions and protected by copyright, trademark, and other laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription.

Content generated by the Service on your behalf (such as blog posts, social media content, or reports) is yours to use as you see fit. However, we retain the right to use anonymized, aggregated data to improve the Service.

8. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, regardless of the cause or theory of liability.
  • Our total liability for any claim arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim.
  • We are not responsible for actions taken by the AI voice agent that result from inaccurate data you provide or from the inherent limitations of AI technology.

9. Indemnification

You agree to indemnify and hold harmless APS, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

Either party may terminate this agreement at any time. You may cancel your account through the platform settings or by contacting us. We may suspend or terminate your access if:

  • You violate these Terms.
  • Your payment is overdue for more than 14 days.
  • We are required to do so by law or to protect the rights, property, or safety of others.

Upon termination, your right to use the Service ends immediately. You may request an export of Your Data within 30 days of termination. After 30 days, we may delete Your Data permanently.

11. Dispute Resolution

If a dispute arises from these Terms or the Service, both parties agree to attempt to resolve it informally by contacting us first. If the dispute cannot be resolved within 30 days, either party may pursue formal resolution. Any legal action must be filed within one year of the event giving rise to the claim.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Service and cancel your account.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. The specific state jurisdiction will be determined based on the registered business location of Agentic Personnel Solutions. Any disputes will be resolved in the appropriate courts of that jurisdiction.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and APS regarding the Service and supersede all prior agreements, representations, and understandings.
